These Terms and Conditions ("Terms") govern your access to and use of the Site, including our business directory listings, resources, and any related services (collectively, the "Services"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. About the Site
LIVentures.com is a business directory focused on Nassau and Suffolk Counties, New York ("Long Island"). The Site allows businesses to be listed in our directory, allows business owners to claim and manage their listings, and provides a curated list of external tools and resources for entrepreneurs. LIVentures.com does not endorse, guarantee, or vouch for the quality, reliability, or legitimacy of any business listed on the Site.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services, claim a listing, or purchase any paid upgrade. By using the Site, you represent that you meet these requirements.
3. Directory Listings
3.1 Unclaimed Listings
The Site may include listings for businesses that have not yet registered or claimed their profile. These listings may be created using publicly available information for the purpose of building a helpful, comprehensive directory. If you are a business owner and would like a listing removed or corrected, please contact us using the information in Section 12.
3.2 Claiming a Listing
Business owners may claim an existing listing or submit a new listing by creating an account and completing our verification process. By claiming a listing, you represent that you are the owner, an authorized representative, or otherwise have the legal right to manage that business's information.
3.3 Accuracy of Information
You are solely responsible for the accuracy, completeness, and legality of any information you submit or maintain in connection with a listing, including business name, address, phone number, website, description, and any images or media. We reserve the right, but not the obligation, to review, edit, reject, or remove any listing or content at our sole discretion, with or without notice.
3.4 Prohibited Listing Content
You may not submit content that is false, misleading, defamatory, infringing, obscene, or that promotes illegal activity. You may not create a listing for a business you do not own or represent, or misrepresent your affiliation with any business.
4. Paid Upgrades and Payments
Certain features of the Site, including enhanced or featured listings, may be available for purchase ("Paid Upgrades"). By purchasing a Paid Upgrade, you agree to:
- Pay all applicable fees as displayed at the time of purchase.
- Provide accurate billing information.
- Understand that fees are processed by a third-party payment provider and are subject to that provider's terms.
Except where required by law or otherwise stated at the time of purchase, all fees are non-refundable. We reserve the right to change our pricing at any time, with reasonable notice for existing subscribers.
5. Account Registration
To claim a listing or purchase a Paid Upgrade, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.
6. User Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorized access to any portion of the Site, other accounts, or related systems.
- Interfere with or disrupt the Site, servers, or networks connected to the Site.
- Scrape, harvest, or collect information about other users or businesses without consent.
- Upload viruses, malware, or other harmful code.
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
7. Intellectual Property
The Site, including its design, text, graphics, logos, and software, is owned by LIVentures or its licensors and is protected by intellectual property laws. Business names, logos, and trademarks displayed in directory listings remain the property of their respective owners.
By submitting content to the Site (including listing descriptions, images, and reviews), you grant LIVentures a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Site.
8. Third-Party Links and Resources
The Site may contain links to third-party websites, tools, or resources that are not owned or controlled by LIVentures. We are not responsible for the content, accuracy, or practices of any third-party site. Inclusion of a link or resource does not imply endorsement.
9. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON THE SITE (INCLUDING DIRECTORY LISTINGS) IS ACCURATE OR CURRENT.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LIVENTURES AND ITS OWNERS, AFFILIATES, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SITE OR RELIANCE ON ANY LISTING OR CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless LIVentures and its owners, affiliates, and representatives from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your listing content, or your violation of these Terms.

13. Termination

We may update these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date at the top of this page. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising from these Terms or the Site shall be resolved in the state or federal courts located in New York.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
